REPRESENTATIVE MATTERS
  • Designed and implemented worldwide distribution system and retail concept store network for U.S. footwear manufacturer, including distribution supply and agency agreements, counseling on antitrust considerations, trademark licensing and intellectual property management, and coordination with laws of multiple jurisdictions in the U.S. and overseas
  • Represented international telecommunications carrier in all aspects of purchase of convertible subordinated debentures from U.S. voicemail services provider
  • Represented U.S. footwear manufacturer in negotiation and opening of $37 million revolving credit facility
  • Represented aerospace engineering client in review and assessment of subcontract for design and manufacture of components of NASA’s James Webb Space Telescope
  • Represented real estate development client in all phases of formation and capitalization in excess of $45M
  • Negotiated and drafted international telecommunications service agreements and capacity supply agreements for both domestic and international communications carriers
  • Negotiated and counseled videoconferencing system and software designer; designed and established its distribution system, negotiated contracts with key executive officers and supervised negotiations with venture capital firm
  • Counseled publicly-traded European manufacturer of civil and military aircraft, satellites and missile systems with respect to formation of U.S. subsidiary, structuring and commencement of operations, regulatory issues, operational and key executive agreements
  • Represented group of key executives of undersea fiber optic cable construction company in review and analysis of complex employment and compensation agreements
  • Represented web development company in preparation and negotiation of contract for the design of its client’s website and database for its e-commerce travel-related business
  • Represented general contractor in negotiation and signing of construction and ongoing management contract for energy plant powering the Brooklyn Renaissance Plaza commercial real estate complex in New York City
  • Engaged by publicly-traded VoIP telecommunications provider to review and analyze existing D&O liability policy
  • Represented publicly-traded military defense contractor in the issuance by local government of an industrial development bond to fund construction of contractor’s industrial location at Mitchell Field, New York
  • Prepared and implemented standard form software license and hardware purchase agreement for integrated videoconferencing system
