TelecommunicationsOur clients in the telecommunications field include international and domestic carriers, as well as satellite companies, value-added providers, key industry executives and advisors. Through our associations with regulatory law firms and with industry advisors, we provide our clients with current information respecting the internal workings of key congressional committees and executive agencies dealing with this field, including the Federal Communications Commission.

The firm has counseled international telecom clients desirous of establishing a presence in the United States and has advised them with respect to mergers and acquisitions, FCC licenses and tariffs and other approvals of that agency. We have also handled a myriad of commercial transactions, acquisitions and commercial litigation for the telecommunications industry.

Our work in the field includes:

  • Negotiation and preparation of agreements provision of telecommunication services, establishment of global telecom networks and sale or leasing of telecom equipment and leased lines
  • Review and prepare satellite manufacturing agreements
  • Planning, negotiation and handling of domestic and international acquisitions of and by communications companies
  • Establishment of value-added service providers
  • Managing U.S. regulatory compliance for international U.S. carriers, including license and tariff filings
  • Acquisitions among foreign and U.S. carriers involving the application of corporate, antitrust, and telecommunications laws and regulations, including FCC regulations dealing with dominant overseas carriers
  • Representation of communications advisors and key executives
REPRESENTATIVE MATTERS
  • Prepared 214 license applications and amendments for U.S. international carriers
  • Prepared tariffs for U.S. subsidiary of European international carrier
  • Negotiated and drafted international telecommunications service agreements and capacity supply agreements for both domestic and international communications carriers
  • Obtained dismissal of claims against U.K. telecommunications client for lack of personal jurisdiction in multimillion-dollar lawsuit for breach of an international telecommunications contract, and devised, with U.K. counsel, an ultimately successful strategy for handling the subsequent U.K. lawsuit
  • Represented Bolivian telecommunications entity in negotiations for acquisition of Bolivian cable television business, where definitive agreement was governed by U.S. law
  • Handled all phases of review and negotiation of contract for manufacture of satellite and related components
  • Representation of international telecommunications advisory firm, including preparation of consulting agreements
  • Recovered full amount of $2MM breach of contract claim following our summary judgment motion in New York federal lawsuit in behalf of client, an international telecommunications service provider, against reseller customer
  • Represented multi-million dollar telecom creditor in Chapter 11 bankruptcy proceeding and participated as member of unsecured creditors’ committee in Delaware bankruptcy proceeding
